Under KRS §273.207 the formation of a nonprofit corporation through which to operate the association requires that the owners elect a board of directors.   The board is authorized to make decisions that are in the best interests of the condo – HOA association and its owners.   The board appoints its officers such as a president, vice-president and treasurer who are responsible for the day to day functions of the condo – HOA association. Under KRS §273.215,  if a) a director has breached or failed to perform the duties of the director’s office; and (b)  the breach or failure to perform constitutes willful misconduct or wanton or reckless disregard for human rights, safety or property, her or she may be liable for monetary damages- stressing the importance of hiring the right condo – HOA association lawyer.
